On May 11, 2026, the managers of the AMS Osram Group, which is continuing its efforts to restructure and focus, signed an agreement to sell the CMOS image sensor (CIS) business to Indie Semiconductor. The total consideration amounts to 45 million dollars and consists of 40 million dollars in cash and a vendor loan of 6 million dollars due after two years. The transaction is expected to be completed within the next six months.

"With the divestment of our CMOS image sensor business to Indie, we are further sharpening our profile as a leader in digital photonics," said Aldo Kamper, CEO of AMS Osram. "While CIS represents a strong technology platform, our strategic priority is to focus investments on those AI-driven segments that offer the most attractive growth prospects and where we clearly differentiate ourselves—including AI photonics and AR smart glasses."

Locations in Belgium And Portugal

The acquired CIS business has its primary locations in Belgium and Portugal. The product line includes intelligent, high-performance CMOS image sensors for a wide range of industrial, automation and physical AI applications. In a separate announcement, Indie Semiconductor positions the acquisition as complementary to its automotive ADAS sensor solutions and to strengthen its multi-modal sensor capabilities across radar, vision, LiDAR and ultrasound. According to Indie, the acquisition will also expand its portfolio of GaN-SLED light source solutions.

Indie Semiconductor expects the transaction to close in the third quarter of 2026 and to be immediately accretive to earnings. According to Research and Markets, the image sensor market will grow to over USD 40 billion by 2030 due to increasing autonomy, safety regulations and the proliferation of AI-based vision ADAS systems and applications requiring multimodal sensing, low latency and high resolution.

Accelerated debt reduction at AMS Osram

The strategic realignment "Creating the Leader in Digital Photonics" was announced by AMS Osram in February 2026. This underlined the company's ambition to develop into a focused semiconductor photonics company. The announced transaction relates to companies holding assets of around 23 million dollars that secure the Group's convertible bonds and senior notes. A significant portion of the proceeds will therefore be used to further deleverage AMS Osram's balance sheet. "The expected cash inflows represent an additional contribution to our accelerated debt reduction," said Kamper. (sb)
